LLP Compliances
An LLP has lighter compliance than a company, but its two annual forms are compulsory even in a year with no business. We file them on time and keep the LLP agreement in step with changes in partners and contributions.
Annual LLP filings (financial year ending 31 March)
| Form | What it is | Standard due date |
|---|---|---|
| Form 11 | Annual return: partners, contributions and designated partners | By 30 May |
| Form 8 | Statement of account and solvency | By 30 October |
Late filing attracts additional fees for each day of delay. LLPs whose turnover or contribution exceeds the statutory thresholds need their accounts audited. Check MCA circulars for any extension.
Event-based compliances
- Admission, resignation or change in designation of partners, filed with the ROC within the prescribed time.
- Changes in the LLP agreement, such as capital contribution or profit-sharing ratio, with the supplementary agreement filed.
- Change of registered office or name, and conversion of a firm or private company into an LLP.
- Designated partner DIN and KYC, which follow the director KYC rules. See annual ROC filings.
