Funding Readiness & Investor Documents

Investors and grant committees decide quickly when the numbers, the cap table and the documents are in order. We prepare the financial and legal groundwork so a funding conversation moves on the merits of the business, not on missing paperwork.

What we prepare

  • Pitch financials: three to five-year projections with clear unit economics, burn and runway, and a use-of-funds plan that matches the ask.
  • Valuation report: from a registered valuer or merchant banker where the law or the investor requires one, coordinated with the share issue process.
  • Transaction documents: term sheet review, shareholders' agreement (SHA) and share subscription agreement (SSA), drafted with legal counsel.
  • ESOP policy: scheme design, board and shareholder approvals, and the tax points for employees and the company.
  • Compliance for the round: private placement or rights issue filings, FEMA reporting for foreign investment, and updated statutory registers.
  • Data room: incorporation and compliance records, IP ownership, key contracts and financial statements, organised the way investors check them.
